Why Now Might Be the Best Time To Exit

If you tried to sell your business between 2000 and 2005, you probably had a difficult time finding a qualified buyer who was willing to pay a fair price. Part of the problem was that no one wanted to buy, cash was not readily available, and interest rates were unattractive. Another reason you might have had a difficult time attracting qualified buyers is that your sales or net income might not have been as impressive as they had been a few years earlier. In short, it was not the best time to sell. But that’s all changed. If you want to exit in the next 3 to 5 years, consider accelerating your plans. This might be as good as it gets. The mergers and acquisitions industry has had its ups and downs, but we are currently in one of the strongest sellers’ markets that we have ever witnessed. If you are thinking that you want to hold on a little longer to enjoy another year of strong positive cash flow – because you just can’t let go, because you think this upward trend will continue indefinitely or maybe you don’t know what you want to do next – keep in mind that bad timing could wipe out your anticipated gains.

Capital Gains Taxes Likely to Rise

There are several reasons why you would be wise to start the exit process now. Many think that capital gains taxes are likely to increase with the next administration. Under the Bush administration, Federal capital gains taxes were reduced from 28% to 15% until 2010. Given the current Federal deficit and the possibility of a change of party in the White House, it is quite possible, some say quite likely, that the capital gains tax will increase. That means you will need to sell for a lot more to net the same amount.

Interest Rates Likely to Increase

Another reason to sell now is that we are currently in a low interest rate environment. Buyers tend to pay more when the cost of money is low. In addition, there is plenty of cash available. This combination tends to drive up prices that buyers are willing to pay. Lower interest rates also make growth by acquisition a more attractive option than organic growth. A higher sale price and modest capital gains taxes add up to more dollars in your pocket.

Potential Future Buyer Pull-Back

Take a look at who is buying. Private equity groups are major players in this market. They are flush with cash and searching for businesses to buy. Many are paying top dollar and are leveraging their purchases to the hilt. A slow down in the economy could have a negative impact on the performance of their portfolio companies, resulting in a reduced appetite for more purchases.

Increased Competition for Buyers

Baby boomer business owners are just now beginning to think about exiting. According to a study by the University of Dallas School of Management, 80% of business owners are thinking about selling, 70% in the next three years. Their findings are consistent with other studies such as the Price-Waterhouse-Coopers study. Competition will be keen for attractive buyers. You will need to offer a more attractive opportunity in the future to even be on the radar screen of the most desirable buyers.

There’s Only One Catch

You or your business might not be prepared to exit now. Many business owners think they are well-prepared, but an outside independent third party or a buyer might disagree. Start working on your comprehensive exit plan today. It could take as much as three to five years to get your personal and business house in order. To maximize the net after tax dollars you walk away with, prepare now so you can exit for top dollar while market conditions are optimum. If you wait until the market peaks before you start preparing, you might find that you missed the opportunity and have to wait for the next upturn in the mergers and acquisitions cycle to exit on your terms.

71-year-old retired Marine, the 2nd Amendment & the right to carry

“Police investigate the scene The 71-year-old retired Marine who opened fire on two robbers at a Plantation sub shop late Wednesday, killing one and critically wounding the other, is described as a former pilot for two presidents. John Lovell. “He doesn’t drink, he doesn’t smoke, he works out everyday.” Lovell was a man of action Wednesday night. According to Plantation police, two masked gunmen came into the Subway at 1949 N. Pine Rd. just after 11 p.m. There was a lone diner — Lovell, who was finishing his meal. After robbing the cashier, the two men attempted to shove Lovell into a bathroom and rob him as well. They got his money. But then Lovell pulled his handgun, opened fire, shooting one of the thieves in the head and chest and the other in the head.

When police arrived, they found one of the men in the shop. K-9 units found the other in the bushes of a nearby business. They also found cash strewn around the front of the sandwich shop. Detective Robert Rettig of the Plantation Police Department. Both men were taken to Broward General Medical Center, where one, Donicio Arrindell, 22, of North Lauderdale died. The other, 21-year-old Frederick Gadson of Fort Lauderdale is in critical but stable condition.

White, a longtime friend of Lovell, was not surprised to hear what happened. ”He’d give you the shirt off his back and he’d be mad if someone tried to take the shirt off your back,” he said. White said Lovell worked as a pilot for the Marines, flying former Presidents John F. Kennedy and Lyndon B. Johnson. He later worked as a pilot for Pan Am and Delta. Lovell is not married and does not have children. He is not expected to be charged, authorities said. ”He was in fear for his life,” Rettig said. These crimin als ought to realize that most men in their 70’s have military backgrounds and aren’t intimidated by idiots. Something tells me this old Marine wasn’t “in fear” even though his life was definitely at risk. Just waiting. And he better not be charged! More like rewarded.

The only thing he could be charged with is partaking in an unfair fight. One 71 yr young marine against two punks. Two heads and one center body mass shot- good shooting!* Even better would have been to double tap them both. Let’s hope the scumbag in critical condition kicks. That’ll teach them to get between a marine and his meal. If not for U.S. Marines, I would have completely lost hope in America a long time ago.

Yesterday many people across this country celebrated our great “democracy.” Many veterans were recognized and remembered for their service in helping keep our “democracy” safe. But what does all this really mean?

We celebrate our government, but what form of government do we really have? When we say an oath to serve our country we pledge allegiance to the Republic for which our United States stands. Is that the same thing as the Democracy we talk about today? Our schoolbooks say they are one in the same.

It is interesting to note that the word “Democracy” is not used in our Constitution, and was not used by our government until around the 1930’s. In the 1930’s, FDR declared a bank holiday and told all US citizens they had to surrender all their gold to the government. (Under what Constitutional authority?) Also came FDR’s “New Deal” which brought socialistic services such as Social Security. It has been since this time our government began calling itself a Democracy, and not before. What follows is a section from a 1928 publication by the War Department for the education of our troops. During the time of these actions by FDR, this manual suddenly was withdrawn from all public sources. It was years later before copies were again made available to The People.

Democracy:
A government of the masses.
Authority derived through mass meeting or any other form of “direct” expression.
Results in mobocracy.
Attitude toward property is communistic-negating property rights.
Attitude toward law is that the will of the majority shall regulate, whether it be based upon deliberation or governed by passion, prejudice, and impulse, without restraint or regard to consequences.
Results in demagogism, license, agitation, discontent, anarchy.
 
Republic:
Authority is derived through the election by the people of public officials best fitted to represent them.
Attitude toward property is respect for laws and individual rights, and a sensible economic procedure.
Attitude toward law is the administration of justice in accordance with fixed principles and established evidence, with a strict regard to consequences.
A greater number of citizens and extent of territory may be brought within its compass.
Avoids the dangerous extreme of either tyranny or mobocracy.
Results in statesmanship, liberty, reason, justice, contentment and progress.
Is the “standard form” of government throughout the world.
 

Do these sound like the same forms of government? Are we still celebrating the same form of government that was fought for 200 years ago? The Constitution was considered to be a “great experiment” in freedom, something that had never been done before. Yet Democracies had certainly been done before at that time, and it seems that our founding fathers did not want to deal with one.

What does this mean? Aren’t we often told that Democracy equals freedom? Isn’t a free country one where the people can express their will? In reading the writings of the founding fathers, it seems they did not exactly feel so.

“We are now forming a Republican form of government. Real liberty is not found in the extremes of Democracy, but in moderate governments. If we incline too much toward Democracy, we shall soon shoot into a Monarchy, or some other form of Dictatorship.”

To paraphrase an example by John R Beaman, consider a typical B grade Western movie plot. An outlaw rides into town and provokes a tavern owner into an unfair gunfight, killing him. The sheriff arrives on the scene and takes the villain into custody. Back at the scene of the shooting the crowd begins to discuss what happened, and come to the conclusion that the villain should be hanged. This, here, is a Democracy, the will of the majority! The crowd becomes a mob and proceeds to the jail with clubs, torches, and pitchforks to lynch the villain. Here the Sheriff confronts the mob (the democracy) and issues the voice of reason. He says that he is there to protect the rights of the individual, whether they be guilty or innocent, and that the villain has the right to due process of law. The Sheriff is the voice of a Republic that protects the rights of the individual, even in the face of the contrary will of the majority.

Seven Layer Salad

Ingrediants:

1 Large Head Lettuce

1/2 Cup Chopped Celery

1/2 Cup Chopped Green Pepper

1/2 Cup Chopped Sweet Yellow Onion

1 10 Oz Package Frozen Peas

1 Pint Miracle Whip

2 Tbl Sugar

8 Oz Cheddar Cheese – Not Graded

1 3.25 Oz Jar of Bacos

Directions:

Choose a wide, flat bowl. My dark blue, enameled bowl, 13″ in diameter, 3 1/2″ high works well.

It is very important that the salad is built in the order that the ingredients are listed above!

Wash lettuce, tear apart, pat with paper towels to dry.

Put peas in a colander, rinse with cold water until thawed and drain.

Grate cheese by hand.

Fill bowl 3/4 full of lettuce.

Sprinkle the other ingredients, in the order listed, around in layers.

Mix sugar and Miracle Whip well before pouring on top. Spread with a spatula to cover well.

Sprinkle with cheese and Bacos.

Cover with Saran Wrap.

Refrigerate for at least 8 hours or overnight.

Serves 6
